These Terms and Conditions ("Terms") govern your access to and use of the ThinkaBell website located at www.thinkabell.com and all online tools and services offered therein (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately. These Terms constitute a legally binding agreement between you and ThinkaBell. We reserve the right to update these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the revised Terms.
1. Acceptance of Terms
By accessing and using ThinkaBell, you agree to be bound by these Terms and Conditions. These Terms apply to all visitors, users, and others who access or use the Service. You represent that you are at least 13 years of age or the minimum age required in your jurisdiction to use such services. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
ThinkaBell is a free, browser-based platform that provides a growing collection of online utility tools for students, developers, creators, and the general public. The Service includes, without limitation, citation generators and checkers, file converters and compressors, text and data formatters (for example JSON, CSV, Base64, and URL encoding), calculators, image-processing tools, QR-code generation, timestamp conversion, study and scheduling aids, and any other utilities we make available from time to time (collectively, the "Tools"). All Tools run locally in your web browser, and the Service is provided on an "as is" and "as available" basis without warranty of any kind. We may add, modify, or discontinue individual Tools at our discretion. Nothing in this section creates an obligation for us to provide any specific Tool or feature.
3. Use of Services
ThinkaBell provides free utilities for personal and commercial purposes. You may use these tools for any lawful task, including academic work, professional projects, personal tasks, and commercial activities. You agree not to:
- Attempt to disrupt, overload, or compromise the security of our services or servers
- Use automated systems, bots, or scrapers to access or interact with our tools without explicit written permission
- Reverse engineer, decompile, or disassemble any part of our website, code, or tools
- Redistribute, resell, or commercially exploit our tools or services as a standalone product
- Use our tools for any illegal, harmful, or fraudulent purpose
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems connected to the Service
We reserve the right to restrict or terminate your access to the Service at our sole discretion if we believe you are violating these Terms or using the Service in a manner that could harm other users or the platform itself.
4. Intellectual Property
The website design, code, content, branding, and all associated materials are owned by ThinkaBell and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without prior written consent. Tool outputs generated by you using our tools are yours to use freely for any purpose, including commercial use. You retain full ownership of any content you create using ThinkaBell tools.
5. User Content and Ownership
"User Content" means any text, files, data, images, or other material that you input into, upload to, or generate with the Tools. Because all processing happens locally in your browser, User Content is processed on your device and is not transmitted to or stored on our servers. You retain full ownership of your User Content and are solely responsible for its legality, accuracy, and the rights you hold in it. By using the Tools, you represent that you have the necessary rights to any User Content you process and that doing so does not infringe the rights of any third party. We claim no ownership over your User Content and will not use, sell, or share it. Tool outputs created by you may be used for any lawful purpose, including commercial use, subject to any third-party rights embedded in the source material you provide.
6. API and Data Access
ThinkaBell does not currently provide a public application programming interface (API), software development kit, or programmatic bulk data feed. All Tools are intended for interactive, individual use through our website. Any automated access to the Service is governed by section 3 (Use of Services), which prohibits scraping, bots, and automated systems without our prior written permission. If and when a sanctioned API or data-access program becomes available, its terms will be provided separately and will supplement these Terms. We reserve the right to introduce, rate-limit, or withdraw any API or data-access capability at our sole discretion.
7. Third-Party Services
The Service integrates with third-party providers that may collect information or set technologies on your device. These include:
- Google AdSense: Serves advertisements on the Service. Google and its advertising partners may use cookies and similar technologies to personalize ads and measure performance, subject to Google's advertising policies and privacy practices.
- Google Analytics: Collects anonymous, aggregated usage statistics to help us understand and improve the Service. IP addresses are anonymized before processing.
- Google Tag Manager: Manages analytics and advertising tags. It does not itself collect personal data but deploys tags that may.
- Formspree (and similar form processors): May process information you voluntarily submit through our contact or feedback forms. Submissions are used solely to respond to your message and are handled according to the provider's terms and our Privacy Policy.
- Cookiebot: Manages cookie consent and helps us comply with GDPR, CCPA, and similar regulations.
These providers operate independently, and their collection and use of data are governed by their own privacy policies, not this Agreement. References to specific providers do not constitute an endorsement, and we may change providers at any time.
8. Third-Party Links and Services
Our Service may contain links to third-party websites or services that are not owned or controlled by ThinkaBell. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that ThinkaBell shall not be responsible or liable for any damage or loss caused by your use of or reliance on any third-party content, goods, or services available through any third-party websites or services.
9. Disclaimer of Warranties
All tools and services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. ThinkaBell does not warrant that the Service will be error-free, uninterrupted, secure, or free of viruses or other harmful components. We make no guarantees about the accuracy, completeness, or reliability of any tool outputs. You are solely responsible for verifying the accuracy and suitability of any outputs generated by our tools before relying on them for academic, professional, or personal decisions.
10. Limitation of Liability
To the maximum extent permitted by applicable law, ThinkaBell and its creators, contributors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service. This includes, but is not limited to, damages for loss of data, academic penalties, financial losses, or any other damages resulting from reliance on tool outputs or inability to use the Service. Our total liability for any claims arising from the use of the Service shall not exceed the amount you paid us, which is zero dollars since the Service is free.
11. Indemnification
You agree to defend, indemnify, and hold harmless ThinkaBell, its creators, contributors, officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service or the Tools, (b) your User Content, (c) your violation of these Terms, or (d) your infringement of any third-party right, including intellectual property or privacy rights. This obligation applies to the fullest extent permitted by law, and we reserve the right to assume the exclusive defense of any matter for which you are required to indemnify us.
12. Dispute Resolution
We are committed to resolving disputes fairly and efficiently. Most concerns can be resolved through direct communication, and you agree to first contact us at the email in section 16 to seek an informal resolution. If a dispute is not resolved informally within sixty (60) days, it shall be settled as follows:
- Mediation: The parties agree to attempt resolution through good-faith mediation before initiating formal proceedings.
- Arbitration: Any dispute that cannot be resolved through mediation shall be finally settled by binding arbitration administered in accordance with applicable commercial arbitration rules. The arbitration shall take place at a mutually agreed location, and each party shall bear its own costs unless otherwise determined by the arbitrator.
- Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
- Class action waiver: You agree to resolve disputes only on an individual basis and not as part of any class, consolidated, or representative action.
13. Force Majeure
ThinkaBell shall not be liable or responsible for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics or pandemics, governmental actions, failures of the internet or hosting infrastructure, or other force majeure events. Performance shall be resumed as soon as reasonably practicable after the event ceases.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically. If you do not agree to any modified Terms, you should stop using the Service immediately.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles, and the parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any matter not subject to arbitration under section 12. If you access the Service from outside the United States, you are responsible for compliance with local laws, and nothing in these Terms shall be interpreted to override mandatory consumer protections in your country of residence. Any disputes arising under these Terms shall first be addressed through good-faith negotiation and, if unresolved, through the mediation and arbitration procedures set out in section 12.
